Terms of Service.

The agreement between you and Tiny AI PVT LTD — the company behind TinyAI — when you use our voice AI platform, APIs, and professional services.

Section 01Introduction and Acceptance of Terms

1.1 Agreement Overview

These Terms of Service ("Terms," "Agreement," or "Terms of Service") constitute a legally binding agreement between you ("User," "Customer," "Client," or "you") and Tiny AI PVT LTD ("Company," "we," "us," or "our"), a private limited company incorporated under the laws of India, regarding your access to and use of our artificial intelligence-powered voice calling services, platforms, applications, software, and related technologies (collectively, the "Services").

By accessing, using, registering for, or purchasing our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services.

1.2 Legal Capacity and Authority

By agreeing to these Terms, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into this Agreement
  • If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you have the authority to bind such entity to these Terms
  • Your use of the Services will not violate any applicable laws, regulations, or third-party rights
  • All information you provide to us is accurate, complete, and current

1.3 Modifications to Terms

We reserve the right to modify, update, or change these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date, sending email notifications to registered users, providing in-app notifications or alerts, and publishing notices through our Services or other communication channels.

Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services and may terminate your account in accordance with the termination provisions below.

1.4 Additional Terms and Policies

Certain features or services may be subject to additional terms, conditions, policies, or agreements ("Additional Terms"). Such Additional Terms will be presented to you in connection with the relevant feature or service and are incorporated into these Terms by reference.

2.1 Service Overview

Tiny AI provides artificial intelligence-powered voice calling solutions designed to enhance business communications, customer service, sales processes, and operational efficiency.

2.2 Core Services

Our Services include, but are not limited to:

  • Voice AI Platform: A comprehensive platform for creating, managing, and deploying AI-powered voice applications for customer service, lead generation, appointment scheduling, surveys, and follow-up communications.
  • Speech Recognition and Synthesis: Advanced speech-to-text and text-to-speech capabilities with support for multiple languages, accents, and industry-specific vocabularies.
  • Call Analytics and Intelligence: Real-time and historical analytics, reporting, and insights including sentiment analysis, conversation intelligence, keyword tracking, and performance metrics.
  • Integration Services: APIs, webhooks, and integration tools that connect with existing business systems, CRM platforms, helpdesk software, and other third-party applications.
  • Custom AI Model Development: Tailored AI models and voice applications designed specifically for your business requirements and unique use cases.
  • Cloud Infrastructure Services: Scalable, secure, and reliable cloud-based infrastructure for hosting, managing, and delivering voice AI services.

2.3 Service Availability and Updates

We strive to provide continuous availability of our Services, but we do not guarantee uninterrupted access.

Section 03User Accounts and Registration

3.1 Account Creation

To access certain features of our Services, you must create an account by providing accurate and complete information.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

3.3 Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at any time if you violate these Terms or any applicable laws.

Section 04Acceptable Use Policy

4.1 Permitted Uses

You may use our Services only for lawful business purposes and in accordance with these Terms.

4.2 Prohibited Uses

You agree not to use our Services for illegal activities, harassment, spam, fraud, impersonation, or any activities that could damage our reputation or business relationships.

4.3 Compliance with Laws

You must comply with all applicable laws, regulations, and industry standards when using our Services.

Section 05Payment Terms and Billing

5.1 Fees and Charges

Use of our Services is subject to the fees and charges specified in your service agreement or as displayed on our website.

5.2 Billing and Payment

Fees are billed in advance for subscription services and in arrears for usage-based services. Payment is due within 30 days of invoice date unless otherwise specified.

5.3 Price Changes

We reserve the right to modify our pricing at any time with at least 30 days' notice for existing customers.

5.4 Suspension for Non-Payment

If payment is not received when due, we may suspend your access to the Services after providing 10 days' notice.

Section 06Intellectual Property Rights

6.1 Company Intellectual Property

All rights, title, and interest in and to the Services are and will remain the exclusive property of Tiny AI or our licensors.

6.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

6.3 User Content and Data

You retain ownership of all content, data, and information that you provide to or generate through the Services.

Section 07Data Protection and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy. We implement appropriate technical and organizational measures to protect personal data.

Section 08Service Level Agreements and Performance

We strive to maintain high availability with the following targets:

  • 99.9% uptime per month (excluding scheduled maintenance)
  • API response time less than 500ms for 95% of requests

Section 09Third-Party Integrations and Services

Our Services may integrate with or depend on third-party services. Your use of integrated third-party services is subject to the terms and conditions of the respective third-party providers.

Section 10Confidentiality and Non-Disclosure

Both parties agree to maintain the confidentiality of non-public information disclosed by either party and use it only for the purposes of this Agreement.

Section 11Limitation of Liability and Disclaimers

WE PROVIDE OUR SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM OR INR 100,000 (ONE LAKH RUPEES) IF NO FEES HAVE BEEN PAID.

Section 12Indemnification

You agree to indemnify, defend, and hold harmless Tiny AI, its officers, directors, employees, agents, and affiliates from and against any and all claims arising out of or related to your use of the Services in violation of these Terms.

Section 13Term and Termination

13.1 Termination for Convenience

Either party may terminate this Agreement with 30 days' prior written notice for monthly subscriptions or 90 days' for annual subscriptions.

13.2 Termination for Cause

Either party may terminate immediately if the other party materially breaches these Terms and fails to cure within 30 days.

13.3 Effect of Termination

Upon termination, your right to access and use the Services immediately ceases. You have 30 days to retrieve your data.

Section 14Force Majeure

Neither party shall be liable for any delay or failure to perform resulting from causes beyond its reasonable control.

Section 15Dispute Resolution and Governing Law

15.1 Governing Law

This Agreement is governed by the laws of India. The Indian Contract Act, 1872, and other applicable Indian laws shall apply.

15.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

15.3 Dispute Resolution Process

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through direct negotiation and mediation.

Section 16General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between the parties.

16.2 Assignment

You may not assign your rights without our prior written consent.

16.3 Severability

If any provision is held invalid, the remaining provisions remain in full force and effect.
